Welcome to WholesaleFlip LLC (“Company,” “we,” “us,” or “our”). By accessing our website, purchasing any curated lots, case packs, or merchandise (collectively, “Products”), you (“Buyer,” “you,” or “your”) agree to be bound by the following Terms of Service and Conditions of Sale.

1. Business-to-Business (B2B) Nature of Sales
WholesaleFlip LLC is a wholesale supplier catering to independent e-commerce resellers. By purchasing from this site, you acknowledge and agree that you are purchasing merchandise for commercial resale or business use. These transactions are strictly Business-to-Business (B2B). Consumer protection laws governing standard retail purchases do not apply to transactions executed on this website.
2. Radical Transparency & Condition Disclosure
All Products sold on this website originate from retail liquidation, customer return, shelf-pull, or overstock supply chains.
- As-Is Condition: All merchandise is sold strictly "AS-IS" and "WHERE-IS." WholesaleFlip LLC makes no explicit or implied warranties, including warranties of merchantability, functionality, or fitness for a particular resale purpose.
- Aesthetic Wear: Buyer acknowledges that liquidation merchandise may exhibit varying degrees of cosmic wear, retail discount stickers, marker defacement on inner tags, slight packaging wrinkles, or minor transit damage to exterior product boxes.
- Product Accuracy: While WholesaleFlip LLC takes actual photos of the items included in each curated lot to ensure maximum visual transparency, slight variances in unmanifested counts or human sorting errors can occur. By purchasing, you accept these industry-standard variances.
3. Strict No-Return & All-Sales-Final Policy
Due to the unique nature of liquidation and wholesale lot distribution:
- All sales are 100% final.
- No returns, no exchanges, no refunds, and no order cancellations will be accepted or processed under any circumstances once payment is submitted and checkout is complete.
4. Shipping, Delivery, & Residential Risk
- Fulfillment: Shipping is calculated automatically at checkout based on the Buyer's designated delivery address.
- Transfer of Risk: Once a shipment is handed over to the carrier (UPS, FedEx, USPS, or DHL) and a tracking number is generated, title and risk of loss pass entirely to the Buyer. WholesaleFlip LLC is not responsible for transit delays, carrier mishandling, porch theft, or weather damage occurring post-handoff.
5. Binding Agreement: No Chargebacks Allowed
By checking the "I agree to the Terms of Service" box at checkout and completing your purchase, you enter into a legally binding contract.
- Forfeiture of Dispute Rights: You explicitly agree that you will not initiate a chargeback, payment reversal, or dispute with your credit card company, bank, or payment processor (e.g., PayPal, Shopify Payments) under claims of "item not as described," "defective merchandise," or "unauthorized purchase" if the delivery matches the tracking status.
- Submission of Evidence: In the event that a chargeback is filed, WholesaleFlip LLC will submit this signed text agreement directly to your financial institution, alongside your unique IP address log, checkout time stamp, verified tracking delivery confirmation, and individual product lot photos. This document serves as explicit proof that you consented to a final-sale, as-is liquidation purchase and intentionally waived your right to a chargeback dispute.
- Recovery Costs: WholesaleFlip LLC reserves the right to pursue collection actions or civil remedies to recover funds lost due to fraudulent chargebacks, including charging the Buyer for associated chargeback fees, administrative costs, and reasonable attorney fees.
6. Governing Law
These Terms of Service and any sales contracts executed on this site shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal actions arising from these terms must be filed in the state or federal courts located in Florida.
